Another statement in the email, containing this- One question that we've seen some supporters continuing to ask is around whether the GMFC Board are able to issue new shares. We have spoken to the GMFC Board and agreed that either the article in question can be altered at a Club EGM following the vote closing, or all GMFC Board members will sign a written agreement to confirm they will never issue new shares in the company, and that MCT have the final decision making power on this. To reiterate, GMFC cannot do anything with the existing shares in the company. MCT retains its close to 90% shareholding in the club and this can only be altered by MCT, and never below 75% without MCT members being in agreement. I'm leaning yes...

"We have had a few comments regarding GMFC Board selling shares, to be clear the GMFC Board cannot sell MCT shares, this is an MCT Board and MCT membership decision" They wouldn't be selling currently held MCT shares though, GMFCs articles of association gives directors the right to raise a share issue. If this were to happen, the actual number of shares owned by MCT would remain the same (unless we bought some) but our percentage of total shares held would drop. The statement does nothing to address this fear. At this point in time, that is the only issue holding me back from a yes vote.
  8. Where's the the 'Go Dalrada, or go bust' narrative coming from? We're on a decent footing, no need for panic on that front. Another thing worries me if GMFC directors were to issue shares, it can happen without any monetary payment being made. Shares can be issued to a 3rd party in lieu of payment for goods and services provided.
  9. From what I've been reading, directors wishing to issue shares need the approval of shareholders unless the company's articles of association give them prior permission. GMFCs AoA are on the website here- https://gmfc.net/club-accounts-articles-2025/ Pages 21 and 22 look ominous to (business ignoramus) me
  10. The email we received today suggests that none of us will get to see the full proposal in any detail. We're expected to cast a vote, informed only by a summary and a hand picked set of questions relating only to the same summary of the deal. Dalrada are saying, here's money to help fund the coming season plus here's some people with the expertise to improve your business/administration working practices. They say they're willing to do this for a year, with no change to the 90% ownership held by the MCT members, and it will be reviewed at the end of the year. Sounds great so far, until we come to the 'three body problem'. They want to remove our majority in the boardroom, and place their own people on the board. Continue with a chairman who seems to be accountable to no-one, continue with two fan appointed mct members on the club board who colluded with others to cover up their own incompetence to the detriment of our managers plans. Then there's the resignations and oustings, the flood of conflicting statements. All this unrest and confusion but not a peep from our chairman or general manager. I feel we're being railroaded towards a vote on a proposal (that we know nothing of the details within) touted as the only game in town. I don't see how we can accept the deal without written cast iron assurances over sponsorship payments, shares dilution, and our right to retake majority control of the board should we decide to do so after the year's deal comes to an end. And each day brings a fresh new mindfuck...
  11. I'm feeling a bit daunted by the responsibility of this upcoming vote. I know next to nothing about corporate structure and powers, nothing about business law, or the rights of shareholders. I also know none of the individuals involved in the MCT or GMFC boards. All I have to go on are the various statements made by the three entities involved. These statements all seem positive and point toward a healthier future for Morton, but then I'm sure Hugh Shitt made all the right noises before taking over and shafting us and the same could be said for the asset strippers at ICT and Hamilton. There are questions that need answered before I feel qualified to vote, beginning with - 1. If an attempt is made by the GMFC board to dilute our shareholding, do we have the power to veto that decision? 2. If Dalrada default on monthly payments, do we, as majority shareholders, have the power to remove one or more of their representatives from the GMFC board? 3. If, at the end of the year, we are dissatisfied with Dalrada as a sponsor, do we have the power to completely remove them from GMFC? I will need answers to these qeuries and some hard assurances from the parties involved before I can decide. Am I alone in feeling out of my depth here?
  12. MCT will retain their 90% shareholding in GMFC and the property company that owns Cappielow. Apparently for the new deal to go thriugh they want a bigger presence on the club board and a say jn the day to day running of the club
  13. No, but I will have a conversation with my brother tomorrow. However, helping the club transition towards an efficient fan owned organisation is one thing, asking him to enter this burning three ring circus is something else altogether.
